Evernorth’s resale registration for a share facility with Cantor Fitzgerald became effective October 30, enabling the sale of up to 5,218,935 new shares to fund potential XRP acquisitions. However, a falling share price has cut illustrated proceeds by approximately $18 million compared to earlier estimates.

The registration allows share sales to CF Principal Investments, a Cantor Fitzgerald affiliate. While this satisfies one condition for the financing, the final amount depends on market prices and actual sales. As of November 4, disclosures have not confirmed shares sold, settled proceeds, or XRP acquisitions.

The value of the full share allowance varies by reference date. At the November 3 close of $11.98 per share, the 5,218,935 shares equate to approximately $63 million. Using the October 22 price of $15.46, the same volume equates to $81 million.

This gap of approximately $18 million represents a 22.5% decrease in illustrated proceeds. Evernorth’s October 26 announcement projected approximately $80 million in gross proceeds based on the October 22 price. Because the commitment is denominated in shares, a lower price yields less cash.

XRPN stock has fluctuated recently, closing at $14.20 on October 30, dropping to $11.70 on November 2, and recovering to $11.98 on November 3—still below the earlier reference price.

Financing costs and XRP conversion

Illustrated proceeds exclude financing costs and allocation choices. Evernorth noted that some funds will support general corporate purposes, including product development and XRP acquisitions, rather than committing all dollars to the token.

At a constant price of $1.28 per token, the $62.5 million figure from November 3 equates to roughly 48.8 million XRP, while the $80.7 million figure from October 22 equates to 63.0 million XRP. XRP was quoted near $1.28 at 13:10 UTC on November 4, down about 15.5% over the preceding 30 days.

Under the agreement, Cantor typically pays 97% of the volume-weighted average price during the purchase period—a 3% discount rather than the closing price used in illustrations. Purchases are generally limited by 20% of trading volume, the company’s notice estimate, and a 4.99% beneficial-ownership limit.

Evernorth also disclosed a nonrefundable upfront commitment fee of $521,893.50, with total commitment fees capped at $1 million. A separate $200,000 fee is required for a qualified independent underwriter.

The registration’s effectiveness satisfies one commencement condition. Other requirements include a final prospectus and various legal, listing, and transfer-agent deliverables. Management determines when to send purchase notices. Actual XRP acquisition requires share issuance and settled cash. Cantor’s subsequent resales are separate transactions; those receipts belong to Cantor, not Evernorth.
