Elon Musk wants it to happen. Whether it does is a whole different question.

Why It Matters

If pursued, a merger could further concentrate Musk-linked corporate bitcoin exposure inside a much larger public vehicle, which would make the combined company a more prominent reference point for how major tech firms treat BTC on their balance sheets. For markets, the key issue is not just size, but the signaling effect: a high-profile tie-up involving two closely watched companies could influence investor expectations around treasury strategy, governance, and corporate adoption more broadly.

Musk said Tuesday that he considers a Tesla-SpaceX merger a good idea — a combination that could create a technology group valued at roughly $3.5 trillion. He made the comment during SpaceX’s third-quarter earnings call, where the company also dropped some pretty staggering revenue numbers. Independent-director committees at both Tesla and SpaceX are now weighing the proposal after shareholders pushed for it. Musk, flagged as a conflicted party, can’t join those talks.

No terms have been agreed.

He described areas where the two companies could work together if a deal went through: superintelligence software, chip design, the Terafab, robotics, mass to orbit through the Starmind constellation, and connectivity. That’s a wide list. But Musk was careful to say the committees hadn’t settled on any deal structure, and he cautioned against treating a transaction as a done thing. The committees might not reach agreement at all, he said.

Even if they do, shareholder approval is its own hurdle.

Musk said Tesla would need votes in favor from holders of 50% of all shares — not just 50% of shares that actually cast ballots. That means every non-voting shareholder counts against the threshold by default. He called that a high bar, which it clearly is. Plenty of mergers have died on shareholder votes with far easier thresholds.

SpaceX AI Revenue Up 830% Year Over Year

The earnings backdrop makes the merger conversation feel less abstract. SpaceX’s total third-quarter revenue climbed 161% year over year to $14.6 billion. That’s a big number on its own. But the real headline inside the report was the “Super Intelligence” segment, which pulled in $7.6 billion — up 830% from a year earlier — and became SpaceX’s largest revenue segment.

SpaceX credited that growth to new cloud-services agreements coming online, the acquisition of Cursor, and broader adoption of Grok across enterprise and consumer users. The company described Grok as an agentic AI model. SpaceXAI, the Grok developer, was formerly known as xAI before SpaceX folded it in. SpaceX also acquired social media platform X in February, so a merger would pull that into the same corporate group as Tesla.

It’s probably worth sitting with those AI numbers for a second. $7.6 billion in a single quarter from a segment that barely existed in any meaningful public form not long ago. That’s the business Tesla shareholders would be voting to join.

Combined Bitcoin Holdings Would Rank Sixth Among Public Companies

There’s a crypto angle here that hasn’t gotten much attention. SpaceX reported 18,712 Bitcoin as of June 30. Tesla reported 11,509 BTC on the same date in its quarterly filing. Put those together and you get 30,221 BTC. At that combined level, the merged entity would rank as the sixth-largest public Bitcoin treasury company — ahead of crypto exchange Bullish.

That’s not a trivial position. Public corporate Bitcoin treasuries have become a closely watched metric across the crypto industry, and the gap between the top holders and the rest of the field is wide. A Tesla-SpaceX combination would land the new group firmly inside that top tier, basically overnight, without buying a single additional coin.

Worth noting: those Bitcoin figures are from June 30 disclosures. Neither company has reported updated holdings since. The actual combined BTC position at the time of any eventual merger — if one happens — could look different.

The merger discussions are still sitting with the independent-director committees. Musk can’t touch those talks. The committees haven’t agreed on terms. Tesla shareholders haven’t voted. And Musk himself said it’s not certain.

But SpaceX’s AI segment just posted $7.6 billion in quarterly revenue, up 830%, and the two companies together hold more than 30,000 Bitcoin.
